These Terms and Conditions of Use (“Terms”) govern your access to and use of the MCATalyst Content Workshop, including all courses, practice questions, educational materials, artificial intelligence tools, community features, websites, applications, and related services offered by MCATalyst Prep LLC (collectively, the “Course” or “Services”).
In these Terms, “MCATalyst,” “we,” “us,” and “our” refer to MCATalyst Prep LLC. “You,” “student,” and “user” refer to the person who creates an account, purchases access, receives complimentary access, or uses the Services.
By creating an account, completing a purchase, accepting complimentary access, selecting a checkbox indicating your agreement, or accessing or using the Services, you acknowledge that you have read, understood, and agreed to these Terms and the MCATalyst Privacy Policy.
If you do not agree to these Terms, you may not purchase, access, or use the Services.
The Services are intended for individuals who are at least eighteen years old.
By creating an account or using the Services, you represent that:
MCATalyst does not knowingly permit children under thirteen years old to create accounts or submit personal information through the Services.
The Content Workshop provides organizational guidance, study frameworks, original practice questions, explanations, videos, educational materials, study tools, and other resources intended to assist students preparing for the Medical College Admission Test.
The Services are provided solely for educational and informational purposes.
The Content Workshop is an independent educational resource and is not affiliated with, sponsored by, endorsed by, or approved by the Association of American Medical Colleges, any medical school, or any other testing or admissions organization.
MCAT® is a registered trademark of the Association of American Medical Colleges (“AAMC”). MCATalyst Prep LLC is not affiliated with, endorsed by, or sponsored by the AAMC. “AAMC” and any other third-party names, trademarks, and materials belong to their respective owners.
MCATalyst does not guarantee:
Results depend on factors outside MCATalyst’s control, including prior knowledge, study habits, effort, time spent studying, testing conditions, health, personal circumstances, and individual performance.
Purchasing or using the Services does not guarantee any particular result.
MCATalyst develops its educational content with care and makes reasonable efforts to provide accurate and MCAT-appropriate information.
However, you acknowledge that:
Users are encouraged to report suspected errors so that MCATalyst can review and, when appropriate, correct them.
MCATalyst does not guarantee that every error will be identified or corrected immediately.
Certain portions of the Services require an individual user account.
You agree to:
Accounts, subscriptions, complimentary access, and login credentials are personal, nontransferable, and may not be shared, sold, loaned, sublicensed, or otherwise provided to another person.
MCATalyst may suspend an account while investigating suspected account sharing, fraud, unauthorized access, payment disputes, security risks, or violations of these Terms.
Your purchase or approved complimentary access provides access only to the courses, subjects, packages, tools, and features specifically included in the applicable plan or approval.
Purchasing or receiving access to one course or subject does not provide access to all courses offered by MCATalyst unless the purchase page, checkout screen, account page, or approval notice expressly states otherwise.
Your access is:
Purchasing or receiving complimentary access does not transfer ownership of any Course material, software, intellectual property, or other portion of the Services to you.
MCATalyst may offer monthly subscriptions, ninety-day access packages, one-hundred-eighty-day access packages, Premium upgrades, Fee Waiver or Fee Assistance access, bundles, promotional offers, or other access options.
The specific price, courses, access period, included features, billing frequency, trial eligibility, and renewal status applicable to your access will be displayed before purchase or communicated as part of an approval.
A monthly subscription:
Certain eligible monthly subscriptions may include a two-day free trial. A free trial applies only when it is expressly displayed during checkout.
Ninety-day and one-hundred-eighty-day access packages do not include the two-day free trial.
If your monthly subscription includes a two-day free trial:
You must cancel before the trial expires to avoid the first monthly subscription charge.
If you cancel an eligible monthly subscription before the free trial expires, you will not be charged the first monthly subscription payment. Trial access may end when the cancellation becomes effective.
If a monthly plan does not expressly display a free trial during checkout, the monthly subscription price will be charged when the purchase is completed.
Free-trial eligibility may be limited based on the applicable offer, account history, prior subscriptions, or other eligibility criteria established by MCATalyst. Creating multiple accounts or using false information to obtain repeated free trials is prohibited.
A ninety-day access package:
By purchasing a ninety-day package, you authorize Stripe to charge the full one-time purchase price immediately.
Continued access after expiration requires a new purchase.
A one-hundred-eighty-day access package:
By purchasing a one-hundred-eighty-day package, you authorize Stripe to charge the full one-time purchase price immediately.
Continued access after expiration requires a new purchase.
Premium access includes the AI Tools and any other tools, benefits, or features specifically identified by MCATalyst as “Premium Features.”
Premium access follows the trial, billing, renewal, and expiration conditions of the underlying plan with which it is purchased:
Premium access only includes the Premium Features identified by MCATalyst for the applicable plan. Premium access does not automatically provide access to every current or future MCATalyst product.
Premium Features may be subject to AI credit limits, message limits, token limits, rate limits, usage restrictions, or other technical limitations disclosed within the Services.
MCATalyst may provide qualifying users with complimentary access to the Content Workshop through its Fee Waiver or Fee Assistance program (“Fee Waiver Access”).
Users approved for Fee Waiver Access are not required to pay for the standard Content Workshop course access included in their approval during the approved access period.
Unless MCATalyst expressly states otherwise:
MCATalyst will maintain an access expiration date associated with approved Fee Waiver Access. The user’s account, subscription information, or other applicable account area will display or otherwise make available the expiration date of the current Fee Waiver period so that the user can determine when the complimentary access period ends and when reapplication may be necessary.
If Fee Waiver Access is renewed or approved for an additional period, the applicable access expiration date will be updated to reflect the newly approved access period.
Fee Waiver Access does not include Premium access, AI Tools, AI credits, or other features designated by MCATalyst as Premium Features.
A user receiving Fee Waiver Access may separately purchase Premium access if MCATalyst makes that option available. Any separately purchased Premium access is subject to the pricing, billing, renewal, cancellation, AI credit, and other terms applicable to the Premium plan selected by the user.
The expiration, cancellation, or termination of separately purchased Premium access does not by itself terminate an otherwise valid Fee Waiver period. Similarly, receiving Fee Waiver Access does not create any entitlement to complimentary Premium Features.
Fee Waiver Access is personal to the approved user, is nontransferable, and remains subject to all other provisions of these Terms.
MCATalyst may establish or modify reasonable eligibility criteria, application procedures, documentation requirements, and administrative rules for future Fee Waiver applications. Any such changes will not shorten an already approved Fee Waiver access period unless access is suspended or terminated in accordance with these Terms.
All payments are processed through Stripe or its affiliated payment-processing services.
By completing a purchase or beginning an eligible monthly free trial, you authorize MCATalyst and Stripe to store or use the payment method you provide and to charge it for:
The amount, billing frequency, trial terms, included courses, and renewal conditions applicable to your plan will be displayed before you complete checkout.
MCATalyst does not generally receive or store your complete payment-card number. Payment information is collected and processed by Stripe in accordance with Stripe’s own terms and privacy practices.
You are responsible for maintaining accurate and current billing information.
If a payment is declined, reversed, disputed, or otherwise unsuccessful, MCATalyst may:
Monthly subscriptions, including monthly subscriptions that begin with a two-day free trial, may be canceled through the billing or subscription settings provided in your account or through another cancellation method clearly identified during purchase.

To avoid the first monthly subscription charge, you must cancel an eligible monthly subscription before its two-day free trial expires.
Canceling during the trial prevents the subscription from converting into a paid monthly subscription. Trial access may end when the cancellation becomes effective.
A cancellation submitted after the trial has expired and the first monthly payment has been processed will stop future renewals but will not automatically reverse the completed charge.
You must cancel before your next scheduled renewal is processed to prevent the next monthly charge.
Canceling after a renewal payment has already been processed will prevent later renewals but will not automatically reverse the completed payment.
Unless otherwise stated, you may continue accessing the applicable Services through the end of the billing period for which payment has already been made.
Ninety-day and one-hundred-eighty-day packages do not need to be canceled because they do not automatically renew.
Fee Waiver Access also does not automatically convert into a paid subscription when it expires.
Deleting your account, ceasing to use the Course, closing a browser, or removing an application from your device does not automatically cancel a monthly subscription. You must complete the designated cancellation process.
Except where a refund is required by applicable law, all payments to MCATalyst Prep LLC are final and nonrefundable.
MCATalyst does not guarantee refunds for any purchase, subscription, access package, Premium upgrade, renewal, or other payment. Any refund, partial refund, credit, extension, replacement access period, or other financial accommodation is provided solely at the discretion of MCATalyst Prep LLC.
Submitting a refund request does not create any right or entitlement to a refund. MCATalyst Prep LLC may approve or deny any discretionary refund request based on the circumstances of the individual request, subject to applicable law.
Refunds are not ordinarily provided for:
Unused AI credits and other AI usage allowances are nonrefundable and do not create any right to a full or partial refund, account credit, cash payment, or reduction in the purchase price, regardless of the price paid for the applicable subscription or package, the number or percentage of AI credits used, the user’s rate of AI usage, or any actual or perceived value attributed to an individual AI credit or unit of AI usage.
The inclusion of AI credits or usage allowances as part of Premium access does not represent the sale of those credits as individually priced units. The purchase price is for access to the applicable Premium plan and its included features as a whole.
The two-day free trial is not redeemable for cash, account credit, a refund, or an extension of another subscription or access package.
A refund, credit, extension, or other accommodation granted by MCATalyst in one instance does not establish a policy, precedent, obligation, or expectation that the same or a similar accommodation will be provided to that user or any other user in the future.
MCATalyst may condition a discretionary refund on termination of the associated access, subscription, package, Premium Features, or other benefits connected to the refunded purchase.
Nothing in this Section limits any refund, cancellation, chargeback, or other consumer right that cannot legally be waived under applicable law.
MCATalyst may change its prices, packages, included courses, usage limits, Premium Features, and the availability or eligibility requirements of future free-trial offers.
A pricing change will not retroactively alter a payment that has already been completed.
If the price of an automatically renewing monthly subscription changes, MCATalyst will provide reasonable advance notice before charging the new price. You may cancel before the new price takes effect.
MCATalyst may modify, limit, or discontinue free-trial offers for future customers or purchases. Any applicable trial terms will be displayed during checkout.
Promotional prices, discounts, free trials, scholarships, Fee Waiver programs, or special offers may be subject to eligibility requirements and additional conditions.
Certain Premium Features use artificial intelligence systems supplied by third-party AI model developers and service providers.
When using an AI Tool, you acknowledge that you are interacting with an artificial intelligence system and not a human tutor, physician, psychologist, attorney, admissions counselor, AAMC representative, or other professional.
Artificial intelligence may generate information that is:
AI-generated responses are probabilistic outputs and must not be treated as guaranteed facts.
MCATalyst intends to make rigorous and ongoing efforts to configure, instruct, test, evaluate, and improve the AI Tools so that their responses are as accurate, educationally useful, and MCAT-appropriate as reasonably possible.
These efforts may include:
These efforts do not guarantee that the AI Tools will always behave as intended or provide correct information.
MCATalyst does not create, own, or fully control the underlying third-party AI models used within the Services.
AI errors, unexpected behavior, refusals, inappropriate responses, hallucinations, outages, changes in performance, and failures to follow instructions may result from limitations, updates, safeguards, technical problems, or decisions made by the underlying AI provider.
To the fullest extent permitted by law, MCATalyst is not responsible or liable for:
Nothing in these Terms excuses MCATalyst from a responsibility that applicable law does not permit it to disclaim.
You are responsible for:
The AI Tools are intended to support learning. They are not a substitute for official AAMC materials, qualified instruction, professional advice, or independent judgment.
Do not submit highly sensitive or confidential information through an AI Tool, including:
Prompts and other information submitted through AI Tools may be transmitted to third-party AI providers or infrastructure providers as necessary to generate a response, operate the feature, prevent abuse, or maintain security, as further described in the MCATalyst Privacy Policy.
You may not use the AI Tools to:
MCATalyst may restrict or disable AI access if it determines that a user has misused an AI Tool.
AI Tools may be subject to credits, message limits, token limits, rate limits, model restrictions, or other usage limits. References to “AI credits” in these Terms include any credit-based, dollar-denominated, token-based, message-based, or similar allowance used by MCATalyst to measure or limit access to AI Tools.
Unless MCATalyst expressly states otherwise, unused AI credits or allowances:
Unused AI credits are nonrefundable regardless of the purchase price of the applicable plan, the number of credits or other AI units originally provided, the number or percentage actually used, the rate or frequency at which the user accesses AI Tools, or any actual, estimated, advertised, or perceived monetary value of the remaining credits.
AI credits are an access-control and usage-management mechanism for Premium Features and are not stored-value funds, gift cards, cash equivalents, individually purchased financial credits, or a representation that any specific portion of the Premium purchase price is attributable to an individual AI credit.
Users are not entitled to reimbursement, cash, subscription credit, extensions of access, or any other compensation solely because they did not use all available AI credits before cancellation, expiration, renewal, termination, or the end of an applicable usage period.
Temporary AI outages, response delays, model substitutions, safety refusals, or service-provider interruptions do not automatically entitle a user to a refund.
MCATalyst may replace or change an AI model when reasonably necessary because of model performance, pricing, availability, provider requirements, safety concerns, security concerns, or changes to the Services.
Except for materials expressly identified as belonging to a third party, all content and materials created or provided by MCATalyst are owned by or licensed to MCATalyst Prep LLC and are protected by copyright, trademark, contract, trade-secret, and other applicable laws.
Protected materials include:
Subject to your compliance with these Terms, MCATalyst grants you a limited, personal, revocable, nonexclusive, nontransferable license to access and use the materials included in your purchase or approved access solely for your own personal MCAT preparation.
No ownership rights are transferred to you.
Unless you receive prior express written consent from MCATalyst Prep LLC, you may not:
Unauthorized redistribution may result in immediate termination without refund and may expose the responsible person to legal action.
Nothing in this section restricts a use that applicable law expressly permits despite these Terms. However, this exception does not permit systematic copying, account sharing, commercial exploitation, or redistribution.
The Services may allow users to submit comments, questions, feedback, messages, reports, discussion posts, or other content (“User Content”).
You retain ownership of your original User Content. By submitting User Content, you grant MCATalyst a nonexclusive, worldwide, royalty-free license to host, store, reproduce, display, moderate, and use that content as reasonably necessary to operate, maintain, protect, and improve the Services.
You may not submit User Content that:
MCATalyst administrators may remove, restrict, hide, or moderate User Content when, in their judgment and discretion, the content violates these Terms, disrupts the educational environment, creates a safety concern, or is otherwise inappropriate for the Content Workshop.
A comment does not need to be unlawful to be considered inappropriate or disruptive.
Public comments and community posts should not be treated as confidential communications.
The Course may reference, link to, or embed third-party resources, including YouTube videos, Anki materials, Khan Academy resources, AAMC webpages, or other publicly accessible content.
Unless expressly stated otherwise:
MCATalyst is not responsible for the content, privacy practices, security, products, or services of an external website or platform.
MCATalyst may occasionally provide referrals, recommendations, links, or introductions to tutors, educational programs, products, services, or other third parties.
Any referral or recommendation:
MCATalyst is not responsible for interactions, services, payments, disputes, representations, agreements, or outcomes involving you and a referred third party.
The Course and its AI Tools do not provide medical, mental-health, legal, financial, academic, or admissions advice.
Course information is general educational information and should not be used as a substitute for advice from a qualified professional.
Nothing provided through the Services creates a physician-patient, therapist-patient, attorney-client, advisor-client, or admissions-counselor relationship.
The Content Workshop is delivered through a custom web application developed and administered by MCATalyst using Base44 technology and other third-party hosting, software, authentication, database, analytics, AI, email, and infrastructure providers.
MCATalyst controls and develops the Course content and user experience but does not control every component of the underlying third-party infrastructure.
The Services may be temporarily unavailable because of:
MCATalyst will make reasonable efforts to maintain the Services and address material technical problems but does not guarantee continuous, uninterrupted, or error-free access.
MCATalyst may modify the Course or Services by:
MCATalyst does not guarantee that every lesson, question, feature, AI model, or resource available on one date will remain available in the same form for the entire duration of your access.
MCATalyst will not intentionally misrepresent the primary courses, features, billing frequency, trial terms, or access period included in a purchase or approved access period.

MCATalyst may investigate a report and take action it considers appropriate. Submitting a report does not guarantee a particular result.
Knowingly submitting false, retaliatory, fraudulent, or abusive reports may constitute a violation of these Terms.
MCATalyst may suspend, restrict, or terminate a user’s account, subscription, Fee Waiver Access, Course access, Premium access, AI Tools, or community privileges if MCATalyst determines that the user has:
Determinations concerning inappropriate comments, disruptive behavior, or community misconduct may be made at the judgment and discretion of the administrators of the Content Workshop.
For serious violations, MCATalyst may terminate access immediately and without advance notice.
For less serious violations, MCATalyst may provide a warning, remove content, restrict a feature, or provide an opportunity to correct the conduct. MCATalyst is not required to provide a warning before taking action.
Unless required by law, a user whose access is suspended or terminated for violating these Terms is not entitled to a refund for unused access or unused AI credits.
Termination does not prevent MCATalyst from pursuing legal or equitable remedies for intellectual-property infringement, unauthorized redistribution, fraud, unpaid charges, or other unlawful conduct.
MCATalyst’s collection, use, processing, sharing, retention, and protection of personal information are described in the MCATalyst Privacy Policy, which is incorporated into these Terms by reference.

If these Terms conflict with the Privacy Policy regarding the handling of personal information, the Privacy Policy will govern that issue.
To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis.
MCATalyst disclaims express and implied warranties, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, and educational performance.
MCATalyst does not warrant that:

To the fullest extent permitted by law, MCATalyst Prep LLC and its owners, officers, employees, tutors, contractors, reviewers, affiliates, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to:
To the fullest extent permitted by law, MCATalyst’s total liability for any claim relating to the Services will not exceed the amount you paid to MCATalyst for the affected Service during the twelve months immediately preceding the event giving rise to the claim.

To the extent permitted by law, you agree to indemnify and hold harmless MCATalyst Prep LLC and its owners, officers, employees, contractors, tutors, reviewers, and affiliates from third-party claims, liabilities, damages, judgments, and reasonable legal expenses arising from:

You consent to receive agreements, notices, disclosures, receipts, free-trial information, subscription information, Fee Waiver expiration information, policy updates, and other communications electronically.

Your electronic acceptance of these Terms has the same effect as a physical signature to the extent permitted by law.
You are responsible for maintaining an accurate email address and reviewing communications relating to your account.
MCATalyst may update these Terms to reflect:

When a change is material, MCATalyst may provide notice by email, through the Course, or through another reasonable method.
Changes will generally apply prospectively from the date stated in the notice. They will not retroactively change the price, trial period, paid access period, or already approved Fee Waiver access period unless permitted by law and expressly agreed to by the user or unless access is terminated for a violation of these Terms.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
If you do not agree to an updated version, you must stop using the Services and cancel any recurring monthly subscription before its next charge.
Before initiating legal proceedings, you and MCATalyst agree to make a good-faith effort to resolve the dispute informally.

Nothing in this section prevents either party from seeking immediate relief to protect intellectual-property rights, confidential information, account security, or against unauthorized redistribution.
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles.
Unless applicable law requires otherwise, any legal proceeding arising from or relating to these Terms or the Services must be brought in a court of competent jurisdiction located in Dallas County, Texas.
You consent to the jurisdiction and venue of those courts.
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent legally permitted.
The remaining provisions will remain in effect.
MCATalyst’s failure to enforce a provision of these Terms on one occasion does not waive its right to enforce that provision later.
A waiver is effective only when it is provided in writing by an authorized representative of MCATalyst Prep LLC.
You may not assign or transfer your rights or obligations under these Terms without MCATalyst’s prior written consent.
MCATalyst may assign these Terms as part of a merger, acquisition, sale of assets, restructuring, transfer of the Services, or change in control.
These Terms, the Privacy Policy, the disclosures presented during checkout, Fee Waiver approval terms, and any additional written terms expressly applicable to a particular plan or feature constitute the entire agreement between you and MCATalyst concerning the Services.
If a checkout disclosure or Fee Waiver approval notice conflicts with these Terms regarding the price, trial eligibility, trial duration, access period, included courses, billing frequency, renewal status, or approved complimentary access period, the clear terms displayed or communicated and accepted for that specific transaction or approval will control.
Provisions concerning intellectual property, licensing restrictions, prohibited redistribution, payment obligations, AI-credit restrictions, refund restrictions, disclaimers, limitations of liability, indemnification, dispute resolution, and any other provisions that logically should remain effective will survive the expiration or termination of an account, subscription, access package, or Fee Waiver period.
